Job description
- Corporate Secretary:
- Support the preparation, organization, and follow-up of board meetings, shareholder meetings, and committee meetings (drafting agendas, minutes, resolutions).
- Maintain statutory records, corporate documents, and registers in compliance with local laws and regulations.
- Coordinate filings with regulatory authorities.
- Liaise with notaries, advisors, and regulators on corporate matters.
- Transfer Agency :
- Supervise daily TA operations including investor onboarding (KYC/AML due diligence), transaction processing (subscriptions, redemptions, transfers), capital calls/distributions, and investor reporting.
- Act as a key point of contact for clients, investors, auditors, and internal stakeholders, addressing inquiries related to investor transactions, documentation, and account maintenance with a strong focus on service quality and responsiveness
- Transversal responsibilities:
- Participate in system implementations, upgrades, process improvements and automation initiatives within the CoSec and TA function.
- Participate in training and mentoring of junior staff, fostering a culture of compliance, excellence, and client-focus
- 3-5 years of experience in corporate secretarial services and/or transfer agency within the fund industry in Luxembourg (ManCo, PFS, Big Four or bank)
- Solid knowledge of Luxembourg corporate law and fund governance frameworks
- Familiarity with Luxembourg AML/KYC regulations and CSSF requirements
- Strong attention to detail, with excellent organizational and communication skills
- Fluent in English; proficiency in French is a plus
- Ability to manage multiple priorities and work collaboratively in a team environment
